3. Payments & Fees
- All invoices must be paid according to the agreed payment schedule.
- Advance payments are non-refundable unless otherwise specified in writing.
- Delayed payments may result in project suspension.
- Any additional work outside the agreed scope may incur extra charges.
4. Refund Policy
- Payments made for completed work are non-refundable.
- Refund requests for ongoing projects will be evaluated based on the work completed.
- Third-party expenses, advertising costs, software subscriptions, domain registrations, and hosting charges are non-refundable.
5. Intellectual Property
- Upon full payment, ownership of approved final deliverables will be transferred to the client unless otherwise agreed.
- StartupXcel retains ownership of proprietary methodologies, templates, frameworks, tools, and processes.
- StartupXcel reserves the right to showcase completed work in its portfolio unless restricted through a written agreement.
6. Marketing & SEO Disclaimer
- StartupXcel does not guarantee specific rankings, traffic, sales, leads, or business outcomes.
- Marketing and SEO results depend on numerous factors beyond our control, including market competition, search engine algorithm changes, customer behavior, and industry conditions.
- Any projections or estimates are provided for informational purposes only.
7. Third-Party Services
Projects may involve third-party platforms such as Google, Meta, LinkedIn, WordPress, Shopify, hosting providers, or advertising networks. StartupXcel is not responsible for outages, policy changes, suspensions, or performance issues caused by such third parties.
8. Confidentiality
Both parties agree to keep confidential information private and not disclose it to unauthorized individuals without prior written consent, except where required by law.
9. Limitation of Liability
StartupXcel shall not be liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, revenue, business opportunities, or data.
- Delays caused by third-party providers or circumstances beyond reasonable control.
The total liability of StartupXcel shall not exceed the amount paid by the client for the specific service giving rise to the claim.
11. Project Termination
Either party may terminate a project by providing written notice.
Upon termination:
- The client shall pay for all work completed up to the termination date.
- StartupXcel may withhold deliverables until outstanding payments are cleared.
12. Website Usage
Users shall not:
- Attempt unauthorized access to our systems.
- Distribute malware or harmful content.
- Use our website for unlawful activities.
- Copy, reproduce, or distribute content without permission.
13. Modifications
StartupXcel reserves the right to modify these Terms & Conditions at any time. Updated versions will be posted on the website and become effective immediately upon publication.
14. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Udaipur, Rajasthan, India.
